Terms of Service

Welcome to Speakeasy, a service owned and operated by Electric Solidus, Inc. ("Swan Bitcoin", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the Speakeasy platform ("Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

1. Description of Service

Speakeasy is an invite-only event platform that enables Swan Bitcoin team members to curate intimate conversations about Bitcoin. The Service allows potential guests to request spots at events, and curators to offer spots to guests as space permits.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

3. Account and Registration

For Guests

When requesting a spot at an event, you must provide accurate and complete information, including a valid email address and phone number. You are responsible for maintaining the accuracy of this information.

For Curators

Curator accounts are limited to authorized Swan Bitcoin team members. Curators must use their @swanbitcoin.com email address to access the Service. Curators are responsible for maintaining the confidentiality of their account credentials.

4. Event Participation

• Spot Requests:Submitting a request does not guarantee a spot at a Speakeasy. Space is limited and spots are offered at the curator's discretion.
• Acceptance: If offered a spot, you must accept within the specified timeframe. Spaces are limited and offered spots must be accepted promptly to secure a spot.
• Cancellation: If you can no longer attend an event, please notify the curator as soon as possible so the spot may be offered to another guest.
• Conduct: You agree to participate respectfully and professionally in all events. Disruptive or inappropriate behavior may result in removal and restriction from future events.

5. User Responsibilities

You agree not to:

• Provide false or misleading information
• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Share event access links or meeting details with unauthorized individuals
• Record events without explicit permission from the curator
• Use automated means to access or interact with the Service
• Violate any applicable laws or regulations

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Swan Bitcoin and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and disclose your personal information.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SWAN BITCOIN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO ACCESS THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless Swan Bitcoin and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another.

11. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Swan Bitcoin regarding your use of the Service and supersede any prior agreements.
